Terms of Service

These Terms of Service ("Terms") govern your use of PegacornCRM, a product of Pegacorn Group LLC ("we," "us," or "our"). By creating an account or using our platform, you agree to these Terms. If you do not agree, do not use PegacornCRM.

1. Account Terms

• You must be at least 16 years old to use PegacornCRM.
• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the security of your account credentials. Do not share your password or API key with unauthorized individuals.
• You are responsible for all activity that occurs under your account.
• One person or legal entity may not maintain more than one free trial account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

2. Acceptable Use

You agree not to use PegacornCRM to:

• Violate any applicable law or regulation, including CAN-SPAM, GDPR, CCPA, or CASL
• Send unsolicited bulk email (spam) or messages to people who have not opted in to receive them
• Upload or distribute malware, viruses, or other harmful code
• Impersonate another person or entity
• Scrape, crawl, or otherwise extract data from our platform for unauthorized purposes
• Attempt to gain unauthorized access to other users' accounts or workspaces
• Interfere with or disrupt the platform's infrastructure
• Use the platform to harass, abuse, or harm others
• Resell or redistribute access to PegacornCRM without our written permission

We reserve the right to suspend accounts engaged in any of the above activities without notice.

3. Your Data

You own your data. All contacts, companies, deals, emails, tickets, documents, and other business data you upload or create in PegacornCRM remains your property. We do not claim ownership of your data.

We access your data only to provide the service, to troubleshoot issues at your request, or as required by law. For details on how we handle your data, see our Privacy Policy.

You are responsible for the legality of the data you upload. You represent that you have the right to use, store, and process the personal data you enter into PegacornCRM, and that you comply with applicable data protection laws.

4. Payment and Billing

• PegacornCRM offers a 14-day free trial. No credit card is required to start a trial.
• After your trial ends, you must subscribe to a paid plan to continue using the platform.
• Paid plans are billed monthly via Stripe. Prices are listed on our pricing page and may change with 30 days' notice.
• All fees are non-refundable except where required by law. If you cancel your subscription, you retain access until the end of your current billing period.
• If your payment fails, we will notify you and attempt to collect again. If payment is not received within 14 days, your account may be suspended.

5. Free Trial

The free trial provides full access to the Starter plan features for 14 days. At the end of the trial, you will be prompted to subscribe. If you do not subscribe, your access to dashboard features will be restricted until you choose a plan. Your data is retained for 90 days after trial expiration, after which it may be permanently deleted.

6. Intellectual Property

PegacornCRM, including its design, code, features, documentation, and branding, is the intellectual property of Pegacorn Group LLC. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

We grant you a limited, non-exclusive, non-transferable license to use PegacornCRM for your internal business purposes, subject to these Terms and your active subscription.

7. AI Features

PegacornCRM uses artificial intelligence to enrich contact data, score leads, and assist with marketing operations. AI-generated outputs (enrichment data, suggested content, scores) are provided on an "as is" basis. While we strive for accuracy, AI outputs may contain errors. You are responsible for reviewing AI-generated data before relying on it for business decisions.

Data processed by our AI features is handled in accordance with our Privacy Policy and is not used to train third-party AI models.

8. Service Availability

We aim to keep PegacornCRM available 24/7 but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience outages. We will make reasonable efforts to notify you of planned downtime in advance.

We are not liable for losses resulting from service unavailability, including lost data, lost revenue, or missed communications.

9. Limitation of Liability

To the maximum extent permitted by law:

• PegacornCRM is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Pegacorn Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability to you for any claim arising from your use of PegacornCRM shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Pegacorn Group LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of PegacornCRM, your violation of these Terms, or your violation of any third-party rights (including the privacy rights of contacts whose data you upload).

11. Termination

• By you: You may cancel your subscription at any time through Stripe. You may delete your workspace and all associated data from Settings.
• By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay. We will provide reasonable notice when possible.
• Upon termination, your right to use PegacornCRM ceases. If you do not delete your data before termination, we may retain it for up to 90 days before permanent deletion.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of South Dakota, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of PegacornCRM shall be resolved in the state or federal courts located in Minnehaha County, South Dakota.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of PegacornCRM after the changes take effect constitutes acceptance of the updated Terms.
